General Information
These terms govern the services provided by INGRUVO S.A.S., a Colombian company specializing in software engineering, digital design, and corporate marketing.

Services Rendered
Ingruvo S.A.S. provides the following services:
- Development of custom websites, portals, and web applications
- Mobile application development (iOS and Android)
- Digital marketing, social media management, and SEO positioning
- Consulting in digital transformation and software architecture
- Maintenance, technical support, and critical system updates
- Hosting, server configuration, and administration (DevOps)
- Deployment of educational platforms (Moodle and custom LMS)

Contract Process
The process begins with a free technical consultation where requirements are defined. Then, a detailed commercial proposal is delivered, containing:
- Project scope and verifiable deliverables
- Development timeline structured in weekly Sprints
- Total investment and payment conditions
- Specific project terms and conditions
The contract is formalized once both parties approve the proposal and the first payment is successfully processed.

Payment Conditions
- Development Projects: 50% upfront fee, 50% upon final delivery
- Monthly Services (Social Media, Support): Monthly advanced payments
- Maintenance: Monthly or annual billing options as agreed
- Large Scale Projects: Milestone payments based on the approved timeline
Accepted payment methods: Bank transfer, PSE, credit/debit card. Failure to complete scheduled payments may result in the temporary suspension of services until the account is fully regularized.

Intellectual Property
Upon completion of the full payment of the project, the client acquires full ownership of the delivered product. Conditions:
- Source code is fully transferred to the client (Git repositories)
- Ingruvo retains rights over internal methodologies, frameworks, and tools used
- Third-party licenses (open source or commercial components) are the client's responsibility
- Ingruvo may reference the project in its corporate portfolio, unless a specific NDA states otherwise

Warranties & Technical Support
- Performance Warranty: 30 days after formal deployment and delivery
- Bug Fixing: Completely free of charge during the warranty period
- Post-Warranty Support: Managed according to the active support retainer plan
- Critical Security Updates: Included in annual system maintenance plans

Limitation of Liability
Ingruvo S.A.S. shall not be held liable for indirect damages resulting from:
- External factors: ISP failures, power cuts, force majeure, or natural disasters
- Improper use of the delivered software by the client or its end users
- Unauthorized source code modifications by third parties
- Cybersecurity attacks, malware, or vulnerabilities in third-party libraries
- Data loss due to failure in following documented backup guidelines

Confidentiality (NDA)
Ingruvo S.A.S. maintains strict confidentiality on all strategic, technical, or commercial information shared during development. This information:
- Will not be shared with third parties without express written authorization
- Will be protected using the same security protocols Ingruvo applies to its own data
- The confidentiality obligation remains valid for 5 years after the completion of the contract

Contract Termination
Either party may terminate the contract with a 30-day prior written notice. In the event of termination:
- All completed and documented work up to the termination date will be delivered
- Services rendered up to the date will be billed proportionally
- All materials, system accesses, and client credentials will be returned immediately
- Confidentiality obligations will remain fully active for the established period

Jurisdiction & Governing Law
These terms are governed by the laws in force of the Republic of Colombia. Any dispute will be resolved before the competent courts of Bogota D.C., through mediation and conciliation routes first.
